CODE OF ETHICS

This Codex has been laid down by the recommendation of the National Chamber of Commerce and “Institute of Democracy and Private Business Survey” Foundation based on guidelines of Institute of Business Ethics, London.

PREAMBULE

The creation of the economy market in Poland and any other country, which Nations and Governments express the will to do,  is connected with necessity to obey the rules of ethics and culture of entrepreneurship. We acknowledge the need for integrity and honesty in economic service among rising entrepreneurs groups for whom obeying the ethical rules and other common known patterns is becoming a fact. Operations to ensure high quality products and service, integrity between partners, governmental and environmental employees denote a responsible way of running a business  and is one of the sources of the company’s success. In times of big competition companies cannot exist for a long period of time without making a positive impact on their surroundings and obeying the ethical rules.
We are confident that in all operations the enterprises which belong to the Group it is necessary to obey basic ethical rules and recognize the commitments of everyone who is interested in the company’s activity. Honesty is an essential condition to achieve the company’s stability and success. The company’s reputation and trust are the most important values. Accepting the Codex should be taken as consideration of the values that are mentioned above and the commitment to monitor whether these rules are obeyed.

RELATIONSHIPS WITH CLIENTS

  1. Enterprises which belong to the Group shall provide the products and services of good quality, solid and safe in use. They shall also offer the products that are compatible with national and international standards and in case of those standards not being defined the enterprise shall conduct a safety research. They shall not give incomplete information and bluffing descriptions of services and products they offer on purpose. They shall not hide harmful operations of the products on purpose.

  2. Companies that belong to the Group commit themselves to avoiding giving untrue, overblown or incomplete information in advertisements or any other forms.

  3. To ensure full satisfaction of clients enterprises that belong to the Group shall provide high quality of services.

  4. Employees hired by enterprises of the Group shall not give money or any other gifts to the clients which may be interpreted as material benefit.

  5. Companies of the Group shall avoid practices that lead to extension of sales through any means that are against the law. 

  6. Companies of the Group shall keep in secret every information that comes from the Client.

RELATIONSHIPS WITH STOCKHOLDERS, SHAREHOLDERS AND OTHER INVESTORS

  1. Companies of the Group shall take care of stockholders, shareholders and other investors’ interests, as well as avoid privileging some investors over the others. 

  2. Companies of the Group shall aim to achieve an attractive return of the investment over long period of time.

  3. Companies of the Group shall honestly inform about policy, achievements and perspectives  for development.

RELATIONSHPIS WITH EMPLOYEES

  1. Relationships between the companies of the Group and their employees shall be based on respect and personal dignity.

  2. Companies of the Group shall hire and promote employees based on requirements needed for specific position. Employees shall not be discriminated based on their race, religion, nationality, skin color, age, sex, marital status or disability that has no influence on the work’s results.

  3. Companies of the Group shall seek to ensure a stable workplace and honestly inform employees about the employment’s outlook.

  4. Companies of the Group are committed to assure clean, healthy and safe working environment according to the standard and work regulations. Employees are committed to make an effort to avoid accidents or hurting themselves, their colleagues and other people.
     
  5. Companies of the Group assure the confidentiality of medical data of their employees. Results of the periodic examinations shall not be shared with other employees or outsiders.

  6. Companies of the Group shall use clear regulations about the reward policy according to the effort of the employees. Those regulations shall be constructed in a way to take into account individual effort of each employee.

  7. Companies of the Group shall help their employees improve their qualifications and support their career.

  8. Companies of the Group shall inform employees about the aims of the company’s activities and tasks.

  9. Information obtained from the employees during work shall not be used for any other purpose than the one it was obtained for.

  10. Companies of the Group commit themselves to revealing direct personal interests of the employees on managerial position and their families if it is connected with the company’s operations. Reveal of a potential conflict of interests may concern chairmen, managers, important shareholders and hiring family members.

  11. Companies of the Group shall not tolerate sexual harassment and any other form of emotional or physical abuse.

  12. Companies of the Group are committed to recognize their special duties to employees who are soon to retire. 

  13. Companies of the Group shall support postiive relationships between colleagues and retirees.

  14. When buying additional insurance companies of the Group shall only have the employees’ avail on mind. Companies shall make an effort to choose the best insurance company or investment fund.

  15. Companies of the Group shall prepare the regulations of settling disputes and take any actions to settle them without letting this dispute to escalate into the conflict.

  16. Companies of the Group shall seek to ensure the most possible way of contact with an employee. Companies shall accept the need to inform and consult employees in the team in which they work. If possible, employees shall be represented in negotiations. If there is an agreement with a worker’s union, the company shall ensure appropriate solutions start a constructive dialog.

  17. Companies of the Group shall honestly inform employees about the dues for social insurance and about the nature of contracts. Employees shall be informed about contract termination. Companies shall not use contract types that are forbidden by the law.

  18. In case of employment termination, the company shall help their former employee in finding a new job, if possible.

RELATIONSHIPS WITH PARTNERS

  1. Relationships between the companies of the Group and their partners shall be based on reciprocal trust.

  2. The fee for services or provided products shall be paid in term defined in the Contract.

  3. The financial means of enterprises belonging to the Group shall be used moderately.

  4. Companies of the Group accept that accepting gifts or any other financial benefits by the employees of the company may cause situations perceived as attempts to present an offer of financial profit for the donor. This following rules must be obeyed:

    – it is forbidden to force someone to accept the gift,

    – it is forbidden to give financial gifts

    – reasonable, small gifts and expressions of hospitality may be accepted if they do not cause any commitment for the person to whom the gift was given

    – supervisors should be informed about any received gift and favors connected with the company with which the collaboration is provided

  5. Information that affects the relations between the companies of the Group  and their partners is confidential.

RELATIONSHIPS WITH COMPETITORS

  1. Companies of the Group shall honesty compete with competitors and not discredit their reputation.

  2. In contact with competitors, employees shall avoid transfering confidential information about the companies of the Group.

  3. Companies of the Group shall not try to obtain information about the competition in a way that is against the law. Those methods include: economic espionage, hiring employees of the competitors with the aim to obtain confidential information, forcing the staff of the competitors or their clients to divulge the information they possess or any other behavior.

  4. Companies of the Group shall not use restrictive economic practices that are against the law. 

CONNECTIONS WITH GOVERNMENTS AND LOCAL COMMUNITIES

  1. Companies of the Group shall use best efforts to be socially sensitive business entities, influence the community by positive operations and ensure possibilities for hiring and good working conditions.

  2. Companies of the Group shall mind the interests of their surroundings – both local and national.

  3. Companies of the Group shall support the local community. Eventual donations for charity purposes shall be awarded by the rules determined by the owners. 

NATURAL ENVIRONMENT

  1. Companies of the Group are  responsible for the natural environment in their operations.

  2. Companies of the Group are committed to using the natural resources in responsible way. That includes:

    – production cycle, wastewater management, removing litter, emissions and noise shall be included in designated standards;

    – companies shall make analysis of the effects of each new enterprise;

    – they shall take special care about animals and plants that exist on the territory where the company’s working

    – they shall inform the local community about environment protection programs

BUSINESS-POLITICS CONNECTIONS

  1. Operations of the companies of the Group shall be characterized by lawfulness implemented by democratically chosen local, regional and national governments.

  2. Companies of the Group shall avoid supporting any political operations connected with hate, prejudice or discrimination aimed at specified groups of people or a specific individual.

  3. Company’s policies regarding support of social and political activities shall be transparent.

  4. Companies of the Group shall not treat politicians or representatives of the government in a privileged way.

PUBLIC PROCUREMENT

 Companies of the Group shall obey legal regulations about the public procurements that take effect in the country of residency, especially:

  1. They shall not try to influence people by giving them gifts, promising them favors or giving them financial gratifications.

  2. In their offers they should only state conditions which are possible to fulfill.

  3. They shall honestly present their achievements and experiences.

  4. They shall not undertake operations with the aim to discredit their competitors.

ISSUES CONNECTED WITH INTERNATIONAL BUSINESS

  1. Companies of the Group shall commit themselves to obeying legal regulations in other countries.

  2. Companies of the Group shall respect traditions and culture of any country in which they operate.

  3. Companies of the Group shall act responsibly in the range of international trade in accordance with national and international agreements.

CODEX IMPLEMENTATION

  1. Codex implementation shall be linked with monitoring whether its’ conditions are obeyed.

    2. Using the Codex shall be a natural effect of the employees’ education on the topic.

    3. Companies of the Group shall monitor the compatibility of undertaken decisions and methods with the rules accepted in the Codex.

    4. The aim of the companies of the Group should be to create a positive work environment and possibilities for the employees. All operations and decisions taken as ethically reprehensible shall be explained as fast as possible.

This Codex has been written in three languages: Polish, Russian and English and takes effect from the 1st of October 2016. It is confirmed by the signatures below made by shareholders, managers, members of the board, proxies and plenipotentiaries of the companies of the Group.
